Bylaws

Article I.

The name of this organization shall be: True Sportsman Club.

Article II. Object

The object of this organization shall be the encouragement of organized rifle, pistol, shotgun and archery shooting among citizens of the United States resident in our community, with a view toward a better knowledge on the part of such citizens of the safe handling and proper care of firearms, as well as improved marksmanship. It shall be our further object and purpose to forward the development of those characteristics of honesty, good fellowship, self-discipline, team play and self-reliance which are the essentials of good sportsmanship and the foundation of true patriotism.

Article III. Membership

Any citizen of the United States, 18 years of age or older and a member in good standing in the National Rifle Association, may become a member of this organization on submission of the membership form, payment of the annual dues and approval of the Executive Committee.

Article IV. Dues

1. The members annual dues to the club shall be set by the Executive Committee at the Annual Meeting.
2. Yearly membership will run from February 1st of the current year to January 31st of the following year.
3. Renewal applications will be mailed to each club member by January 1st of the current year. Current members will have until January 31st to submit their renewal applications at which time membership in the club will be opened to new members.
4. The Executive Committee will set the maximum number of members that will be accepted for the current year.
5. No member of the club in arrears shall be eligible to vote or enjoy any other of the privileges or benefits offered by this club.

Article V. Meetings

1. Annual Meeting: The annual meeting of the club shall be held on the first Wednesday of December in each year. If the annual meeting shall not take place at the time fixed it shall be held within a reasonable time thereafter, and the officers shall hold over until their successors shall have been elected.
2. Regular Meeting: The regular business meeting of the club for the transaction of ordinary business shall be held on the first Wednesday of each month, at such time and place as may be fixed by the Executive Committee.
3. Special Meeting: A special meeting of the club may be held at any time upon the call of the President or upon the call of the Executive Committee, or upon demand in writing, stating the object of the proposed meeting, and signed by not less than 20% of the members entitled to vote. Notice of the time, place, and object of any special meeting shall be given all officers and members in good standing in writing by the United States mail not less than seven days prior to the date fixed for holding of the meeting. The place of such special meeting shall be fixed by the Executive Committee.
4. Quorum: Three officers and either two members of the Board of Directors or six regular club members entitled to vote shall constitute a quorum at any meeting.

Article VI. Officers

1. The officers of this club shall be a President, Vice-President, Secretary, Treasurer and a six to nine member Board of Directors, who, acting together, shall constitute the Executive Committee and be the ruling body of the club. These officers and board members shall be elected by a majority vote by ballot of the members in good standing present at the annual meeting of the club. They shall hold office for one year or until their successors are elected. The offices of Secretary and Treasurer may be combined together as one office.
2. The Executive Committee shall have general supervision and control of all activities of the club.
3. Meetings of the Executive Committee shall be held regularly at such time and place as the committee may determine. Special meetings may be held at any time on the call of the President or on demand, in writing to the Secretary, by three members of the committee. Six members of the committee shall constitute a quorum.
4. Resignation of any officer may be accepted by a majority vote of the remaining members of the Executive Committee.
5. A vacancy in the Executive Committee may be filled by a majority vote of the remaining members of the committee. However, if more than one vacancy exists, a special meeting of the club shall be called and new officers shall be elected to fill the vacancies until the date of the next annual meeting as provided in paragraph 1 above.
6. The officers of this club shall maintain individual membership in the N.R.A. for their tenure in office.

Article VII. Duties of Officers

1. President: The President shall preside at all meetings of the club and of the Executive Committee. He/She shall be a member ex-officio of all regular and special committees, and shall perform all such other duties as usually pertain to his office.
2. Vice-President: The Vice-President shall perform the duties of the President in his/her absence or at his/her request. The Vice-President will also be in charge of facility maintenance. He/She will schedule any work needed to the club facilities, obtain help as needed from the club membership, or with approval of the Executive Committee, hire work from an outside source. He/She will set up and maintain all necessary paperwork or logs relating to facilities maintenance. No maintenance of the club’s facilities will be done without the Vice-President’s approval.
3. Secretary: The Secretary shall conduct all official correspondence of the club. He/She shall notify the members of the Executive Committee of all meetings and shall notify all members of special and annual meetings, as required in Article V. He/she shall keep a true record of all meetings of the Executive Committee and of the club and have the custody of the books and papers of the club. To keep members informed of the news and activities of the club, the Secretary will generate a quarterly newsletter and send it to all members. Newsletters may be sent more often if club activities warrant it.
4. Treasurer: The Treasurer shall have charge of all funds of the club and place the same in such bank or banks as may be approved by the Executive Committee. Such money shall only be withdrawn by check signed by the President, Secretary or Treasurer and for payment of such bills as shall have been approved by the Executive Committee. The Treasurer shall keep an accurate account of all transactions and render a detailed report with vouchers at any meeting of the Executive Committee when requested and an annual report to the organization at its annual meeting. All applications for membership in the club shall be made to the Treasurer. He/she shall be responsible for the collection of all fees and dues. He/she shall be responsible for re-affiliating the club with the National Rifle Association annually.

Article VIII. Suspension and Expulsion

1. Any officer may be removed by a two-thirds vote of the members in good standing present at any special meeting called for this purpose. No vote on suspension or removal may be taken unless fifteen days notice in writing shall have been given to the officer of the reasons for his/her removal and of the time and place of the special meeting at which such ballot on his/her removal is to be taken. At any such special meeting the officer shall be given a full hearing.
2. Any member may be suspended or expelled from the club for any cause deemed sufficient by the Executive Committee by a two-thirds affirmative vote of the members of the committee present at any regular or special meeting. No vote on suspension or expulsion may be taken unless at least fifteen days notice in writing shall be given to the member of the charges preferred and of the time and place of the meeting of the Executive Committee, at which such charges will be considered. At such meeting the member under charges will be accorded a full hearing.
3. Charges against any officer or member may be preferred by any member in good standing. They shall be in writing clearly stating the facts relied upon and accompanied by all affidavits or exhibits which are to be used in their support. Such charges shall be filed with the Secretary, who will immediately notify the President. The President will immediately call a meeting of the Executive Committee to hear the charges. The Secretary will give at least fifteen days notice of the meeting to each member of the Executive Committee and to the accuser and to the accused, which notice shall be in writing and will include a true copy of the charges and of the supporting affidavits and exhibits.
4. Any member suspended or expelled by the Executive Committee may appeal to the full membership of the club. Such appeal shall be made in writing to the Secretary who will notify the President. The President will call a special meeting of the club for the purpose of acting on the appeal. The Secretary will give at least fifteen days notice in writing to all members of the club in good standing stating the date, time, place, and reason for such special meeting. At the meeting the Secretary will read the original charges to the full club, with the supporting affidavits, and will read or display the accompanying exhibits, and will read the minutes of the meeting of the Executive Committee at which the charges were heard and action taken. A full hearing will be given the accuser and the accused. A vote will be taken by ballot of the members in good standing present and two-thirds vote shall be required to reverse the action of the Executive Committee.
5. Any official or member who has been suspended or expelled by the National Rifle Association shall automatically stand suspended or expelled from this club immediately upon receipt of official notice by the Secretary of the NRA to the Secretary of this club.
6. The National Rifle Association shall be given a complete report whenever a member of the club is suspended or expelled, showing charges and action taken.

Article IX. Match Rules

All rifle, pistol, shotgun and archery competitions held by the club will be governed by the safety rules and regulations of the NRA.

Article X. Amendments

Any proposed amendments to these by-laws may be introduced by any member of the club at any regular meeting or special meeting called for this purpose. The proposed amendments must be acted upon by the club membership at a regular meeting or a special meeting called for the purpose provided a copy of the approved amendments has been sent to each club member by United States mail or electronic means at least ten days previous to the meeting. A two-thirds vote of the members present will be necessary to pass or reject it.

Article XI. Finances

Per Article VII, the Treasurer shall be responsible for maintaining and managing the finances and monetary accounts of the club, subject to oversight of the Executive Committee. This Article further enumerates the type and purpose of monetary accounts that the club may have.

1. Checking Account: The Treasurer shall maintain a checking account through which the day-to-day monetary needs of the club are met. Income from dues, TSC sponsored events, facilities rental, etc. will be deposited into the checking account. Expenses of the TSC will be paid from the checking account, thus providing a verifiable record of income and expenses for the club.
2. Investment Account: The club shall establish and maintain an Investment Account that has the objective of long-term appreciation and to provide necessary funding for the needs of the club. The Investment Account will be funded by annually contributing no less than 5% of the checking account balance as determined at the end of the club’s fiscal year (December 31) after all current obligations, including account balances necessary to avoid penalty, have been met and before membership dues for the next fiscal year have been collected and deposited. The Executive Committee shall be responsible for investment decisions, including the percent of money in the checking account to be contributed each year. Investment income shall remain in the Investment Account. Withdrawals shall be authorized by a 2/3 vote of the Executive Committee.
3. Special Checking Accounts: The club may sponsor special programs that may have their own checking account either from requirement or convenience. These Special Checking Accounts shall be the responsibility of the person designated by the club to be in charge of any such sponsored programs. The responsible person shall be required to make an annual report to the Treasurer of the club regarding the total income, expenses, and balance of any checking account associated with these special programs.
4. Memorial Account: The A&A Shooters, a special program for the promotion of youth clay target shooting sponsored by the club, has established a Memorial Investment Account. This special account is funded with contributions made in memory of loved ones, or through estate or trust giving plans. These gifts were made with the expectation that they would specifically benefit youth shooting in Amador County. In order to ensure confidence that those wishes will be met, and to encourage future contributions, the club mandates through this By-Law clause that in the event the A&A Shooters cease to exist for a period of five (5) years, the assets of the Memorial Account will go to the Amador Community Foundation as an endowment fund to be used solely and specifically for youth shooters or youth shooting programs in Amador County.
5. Financial Audits: The Executive Committee, acting as the Audit Committee of the club, has the duty to perform an annual internal audit of the various accounts of the club.
